1. Acceptance of Terms

By accessing or using the Crews Solutions platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service. These Terms constitute a legally binding agreement between you and Crews Solutions LLC ("Company," "we," "us," or "our").

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the Service prior to the changes taking effect. Your continued use of the Service after any such changes constitutes your acceptance of the updated Terms.

2. Description of Service

Crews Solutions is a cloud-based software-as-a-service (SaaS) platform designed for construction businesses. The Service provides tools for managing day-to-day operations including, but not limited to:

• Job and project management
• Invoicing and payment tracking
• Time tracking and timesheets
• Crew and team management
• Bid and estimate creation
• Materials tracking and purchasing
• Document management and reporting

The specific features available to you may vary depending on your subscription plan.

3. Account Registration

To use the Service, you must create an account. When registering, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and complete
• Maintain the security and confidentiality of your login credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

Each individual may only maintain one account. You may not share your account credentials with others or allow others to access the Service through your account. We reserve the right to suspend or terminate accounts that we reasonably believe are being shared or used in violation of these Terms.

4. Free Trial

We offer a 14-day free trial to new users. During the trial period, you will have access to the features included in your selected plan at no charge. The trial begins on the date you create your account.

• No credit card is required to start a free trial
• The trial automatically expires at the end of the 14-day period
• Your data will be preserved after the trial expires, and you can access it by subscribing to a paid plan
• We reserve the right to modify or discontinue the free trial offer at any time

5. Subscription and Payment

Access to the Service beyond the free trial requires a paid subscription. By subscribing, you agree to the following:

• Subscription plans and pricing are as listed on our website at the time of purchase
• All payments are processed securely through Stripe, our third-party payment processor
• You may choose monthly or annual billing cycles
• Subscriptions automatically renew at the end of each billing cycle unless cancelled beforehand
• You may cancel your subscription at any time through your account settings
• Cancellations take effect at the end of the current billing period; no partial refunds are provided for unused time
• We may change pricing with at least 30 days advance notice; price changes apply to the next billing cycle after the notice period

If payment fails, we may suspend your access to the Service until the outstanding balance is resolved. You are responsible for all applicable taxes associated with your subscription.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Service for any illegal activity or in violation of any applicable laws or regulations
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
• Use automated tools, bots, scrapers, or scripts to access or extract data from the Service
• Upload, transmit, or distribute any harmful, offensive, or objectionable content
• Attempt to gain unauthorized access to the Service, other accounts, or the systems and networks connected to the Service
• Interfere with or disrupt the integrity or performance of the Service
• Resell, redistribute, or sublicense access to the Service without our prior written consent

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including suspending or terminating their account and reporting them to law enforcement authorities.

7. Your Data

You retain full ownership of all data, content, and information that you submit to or create within the Service ("Your Data"). By using the Service, you grant us a limited license to process, store, and display Your Data solely for the purpose of providing and improving the Service.

• We process Your Data in accordance with our Privacy Policy
• You may export Your Data at any time through the tools provided within the Service
• You may request deletion of Your Data by contacting us at support@crewssolutions.com
• We will not sell, rent, or share Your Data with third parties except as necessary to provide the Service or as required by law

You are solely responsible for the accuracy, quality, and legality of Your Data and the means by which you acquired it.

8. Intellectual Property

The Service, including all software, design, text, graphics, logos, icons, and other content (collectively, "Platform Materials"), is owned by Crews Solutions LLC and is protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription. This license does not include the right to modify, copy, distribute, or create derivative works based on the Platform Materials.

9. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. You acknowledge that:

• The Service is provided on a "best effort" uptime basis
• Scheduled maintenance windows may temporarily interrupt access to the Service; we will provide reasonable advance notice when possible
• We may modify, update, or discontinue features of the Service at any time to improve functionality, security, or performance
• We are not liable for any downtime, data loss, or disruption caused by circumstances beyond our reasonable control, including but not limited to natural disasters, internet outages, or third-party service failures

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CREWS SOLUTIONS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO US DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Indemnification

You agree to indemnify, defend, and hold harmless Crews Solutions LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any content or data you submit to or create within the Service
• Your infringement of any third-party rights

12. Termination

Either party may terminate this agreement at any time:

• You may cancel your subscription and close your account at any time through your account settings or by contacting support
• We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms
• We may also terminate your account with 30 days written notice for any reason

Upon termination, your right to use the Service ceases immediately. We will retain Your Data for a reasonable period (up to 30 days) following termination to allow you to export it, after which it may be permanently deleted. Sections of these Terms that by their nature should survive termination shall remain in effect.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under or in connection with these Terms shall be resolved in the federal or state courts located in the State of California, and you consent to the personal jurisdiction of such courts.
